Ethical Guidelines

Confidentiality
“Confidential Information”. For purposes of this Agreement, Confidential Information shall mean all  Confidential Information

For purposes of this project, Confidential Information shall mean all strategic and development plans, financial condition, business plans, co-developer identities, data, business records, customer lists, project records, market reports, employee lists and business manuals, policies and procedures, information relating to processes, technologies or theory and all other information which may be disclosed by the Client or to which A Virtual Match may be provided access by the Client or others in accordance with this Agreement, or which is generated as a result of or in connection with the Business Purposes, which is not generally available to the public.
Nondisclosure Obligations
A Virtual Match promises and agrees to receive and hold the Confidential Information in confidence. Without limiting the generality of the foregoing, A Virtual Match further promises and agrees:

A. to protect and safeguard the Confidential Information against unauthorized use, publication or disclosure;

B. not to use any of the Confidential Information except for the Business Purposes.

C. not to, directly or indirectly, in any way, reveal, report, publish, disclose, transfer or otherwise use any of the Confidential Information except as specifically authorized by Disclosing Party in accordance with this Confidentiality Agreement.

D. not to use any Confidential Information to unfairly compete or obtain unfair advantage vis-à-vis the Client in any commercial activity which may be comparable to the commercial activity contemplated by the parties in connection with the Business Purposes.

E. to restrict access to the Confidential Information to those of its officers, directors, and employees who clearly need such access to carry out the Business Purposes.

F. to advise each of the persons to whom it provides access to any of the Confidential Information, that such persons are strictly prohibited from making any use, publishing or otherwise disclosing to others, or permitting others to use for their benefit or to the detriment of the Client, any of the Confidential Information, and, upon Request of the Client, to provide the Client with a copy of a written agreement to that effect signed by such persons.

G. to comply with any other reasonable security measures requested in writing by the Client.
Sharing of Information
A Virtual Match does not sell, rent, or share any customer, client, or survey respondent’s information, except for transactions involving third parties or subcontracted service providers. In such cases, we provide only the information required to complete the transaction. By contract, the third party or subcontracted service provider is not permitted to sell, rent, or share this information.
Cookies
A Virtual Match uses software tags called “cookies” to identify survey respondents when they visit our site. The information we collect with cookies is not sold, rented, or shared with any outside parties.
Conflicts of Interest
A Virtual Match, it’s Consultants, and subcontracted agencies, must conduct A Virtual Match projects with total objectivity, without influence from the Client, and must avoid situations whereby personal interests conflict or appear to conflict with the objectivity of the assignment and the interests of A Virtual Match and its Clients. A Virtual Match will identify where a consultant, spouse, or a member of their household or immediately family are employed by the client. A Virtual Match will define when the company or a consultant may stand to gain or lose due to work with the Client or of a supplier or vendor dealing directly or indirectly, such that the consultant’s recommendations, review, decisions, or other actions on behalf of A Virtual Match may be compromised by said interest. Consultants will also identify conflicts of interest when ownership in publicly traded equity securities is held by the investment.
Disclosure of Prior Work
A Virtual Match, its consultants, and its subcontractors will disclose when they have worked for the Client as an employee or as a consultant and beginning and end dates.
Non-Solicitation
A Virtual Match agrees that it will not, for a period of three (3) months from the date of project agreement, initiate contact with Client’s employees, owners, nor customers in order to solicit, entice or induce any employee, owner, or customer of the Client to terminate a relationship with Client to accept employment or services with/by A Virtual Match.
